Terms of Service

1. Acceptance of Terms

By accessing or using Counselr (“the Service”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms. If you do not agree, do not use the Service.

2. Service Description

Counselr provides an AI-powered platform for creating, hosting, and managing websites, along with related services including custom domain management, business email, document editing, business registration, banking integration, payment processing, and AI-assisted content generation. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access.

You must be at least 16 years old to use the Service. If you are under 18, you represent that you have your parent or guardian's consent.

4. User Content & Intellectual Property

You retain full ownership of all content you create using Counselr, including websites, text, images, and designs. You grant us a limited, non-exclusive license to host, serve, cache, and display your content solely as necessary to provide the Service.

AI-generated content produced by the Service is yours to use commercially. However, you are solely responsible for ensuring your content does not infringe on third-party intellectual property rights or violate any applicable laws.

5. Acceptable Use

You may not use Counselr to:

  • Host or distribute malware, phishing pages, or fraudulent content
  • Send spam, bulk unsolicited messages, or engage in email abuse
  • Violate any applicable law, regulation, or third-party rights
  • Host content that promotes violence, hate speech, or illegal activity
  • Attempt to reverse-engineer, decompile, or exploit the platform
  • Use automated tools to scrape, crawl, or overload the Service

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice depending on the severity of the violation.

6. Payment & Billing

Free accounts are subject to usage limits. Paid plans are billed monthly or annually as selected at the time of purchase. Prices are in USD and exclude applicable taxes.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Refunds are available within 14 days of initial purchase for annual plans.

We reserve the right to change pricing with 30 days' notice. Existing subscribers will be grandfathered at their current rate until the end of their billing cycle.

7. Uptime & Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by third-party services, force majeure events, or circumstances beyond our reasonable control.

8. Limitation of Liability

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Counselr shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

9. Termination

Either party may terminate this agreement at any time. Upon termination, you may export your data within 30 days. After 30 days, we reserve the right to delete all account data. Sections relating to intellectual property, limitation of liability, and governing law survive termination.

10. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

11. Changes to These Terms

We may update these terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised terms.
